("RIVER SOFTWARE"). USE OF THE SOFTWARE IS SUBJECT TO THE TERMS AND CONDITIONS AND PRIVACY STATEMENT SET FORTH IN THIS LICENSE AGREEMENT (THE "LICENSE AGREEMENT" OR "AGREEMENT"). BY INSTALLING THE SOFTWARE YOU INDICATE YOUR ACCEPTANCE OF THE TERMS AND CONDITIONS SET FORTH HEREIN. RIVER SOFTWARE RESERVES THE RIGHT TO REVISE THIS LICENSE AGREEMENT AND PRIVACY STATEMENT AT ANY TIME.
The River Software License Agreement describes the operation of The Software you are about to download and the terms and conditions that govern your use of this software. Before you may download and install this software product, you must agree to the terms and conditions described below.
MINORS AND CHILDREN. If you are thirteen years old or younger, you are prohibited from downloading, registering, or using the Service. If laws in your country prohibit you from entering into a valid and enforceable agreement with us because of your age � in many countries, because you are under eighteen years of age - you are prohibited from downloading, registering, or using the Software.
Software License
The Software is licensed to you for your personal, non-commercial use only. Other than the rights expressly granted to you hereunder, no other right is granted to you. The License Agreement provides you the opportunity to download a software product which will periodically deliver advertisements and promotional messages to your computer. Without limitation, you may not: (a) modify or create any derivative works of the software or documentation; (b) decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code for the software; or, without limitation, redistribute, sublicense, or otherwise transfer rights to the software.
The Software includes a search assistant application that provides access to a wide range of websites, applications and information. This means that The Software will periodically direct you to our sponsors' websites. The Software will NOT collect or transmit any information that will be used to identify you personally. The Software will provide you with access to comparative shopping opportunities at times when we consider them most relevant. By installing and/or using The Software you grant permission for River Software to periodically display sponsors' websites to you. The frequency of the advertisements will vary depending on your use of the Internet.
River Software reserves the right to modify or amend the License Agreement at any time and for any reason or for no reason at all, in their sole discretion, without notice. Please review the version of the License Agreement at http://www.riversoftware.net/terms.htm from time to time in order to keep current with its terms and conditions.
You represent and warrant that you are the owner of the computer and that you have authorized the download and installation of The Software, or that the owner of the computer has authorized you to do so. If you have the legal right to accept The License Agreement on behalf of one or more users of the computer that you have caused The Software to reside, then you hereby accept this Agreement on behalf of all such other users. Also, you agree not to use The Software, in a manner prohibited by law, or in violation of any contractual provision by which you are bound. You agree to comply with all applicable laws, rules and regulations in your use of The Software.
You understand and agree that the presence of The Software on any computer is voluntary and that you may remove it from your computer at any time. To remove The Software from a computer, see our removal information page.
You grant River Software permission to add or remove features and/or functions to the Software, or to install new applications, at any time, in River Software�s sole discretion with or without your knowledge and/or interaction. You also grant River Software permission to make any changes to the Software provided at any time.
These Terms and Conditions may be terminated at any time, by any user, by removing The Software from the computer using one or more of the above described removal methods and destroying any other copies of The Software you may have made.
Disclaimer of Warranty
You expressly agree that the use of The Software is at your own risk. The Software is provided on an "As Is" basis, without warranty of any kind, including without limitation the warranties that it is free of defects and errors, fit for a particular purpose, or non-infringing. River Software reserves the right to periodically update and/or upgrade the software at the company's discretion. Your installation of The Software indicates your acceptance of potential future updates and/or upgrades to the software.
The function and services provided by The Software are similarly provided on an "As Is" basis, without warranty of any kind. The accuracy and reliability of any information content or services provided by the Software and or River Software's advertising partners should be independently verified by you as the user prior to making purchase decisions and or any other decisions based on such information content and services.
Limitation of Liability
In no event will River Software, distributors, distributees, suppliers, merchant business associates, advertisers, third party developers or distributors of The Software, or any of the foregoing entities officers, directors, employees, or agent (collectively "protected parties") be liable for any indirect damages, including, by way of illustration and not limitation, lost profits, lost business or lost opportunity, or any indirect, special, incidental or consequential or exemplary damages, including legal fees, arising out of River Software privacy statement, end user license agreement, or your use or inability to use licensed materials, or supplied materials even if a protected party has been advised of the possibility of such damages.
Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, protected parties liability shall be limited to the extent permitted by law.
Choice of Law, Jurisdiction, and Venue
This License Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Washington as applied to agreements entered into and to be performed entirely within that State between residents of that State. The state and federal courts in Washington shall be the exclusive jurisdiction, forum, and venue to resolve any and all disputes arising out of or relating to this License Agreement. You consent to personal jurisdiction and venue in state or federal court in Washington.
Privacy Statement
By downloading the Software, you give permission to River Software to display ads and offers to you. Personally identifiable information is NOT required in order to use the Software and River Software does NOT know the identity of individual users of the software. River Software does NOT track which ads and offers are seen or clicked on by individual computers. The Software may assign individual computers an anonymous, unique machine ID. The machine IDs are NOT used to determine which ads to serve individual users or to create browsing profiles of users.
The Software does NOT place any cookies on your computer. We work with third party advertising companies to serve advertisements when you use the Software. In the course of serving advertisements, third parties advertising through our software may employ cookies and action tags (also known as single pixel gifs or web beacons) to measure advertising effectiveness.
