Welcome to GossipReport.com. By accessing and using GossipReport.com and its services and network (the "Website?), you signify that you have read, understand and agree to be bound by these Terms and Conditions and this Privacy Policy (Terms and Conditions and Privacy Policy collectively referred to as "Terms of Use"), whether or not you are a registered member (registered and nonregistered users collectively, "User" or "Users"). If User does not agree to abide by these or any future Terms of Use, User shall not use or access (or continue to use or access) Website. It is User's responsibility to regularly check Website to determine if there have been changes to these Terms of Use and to review such changes. These Terms of Use shall survive the termination of a User's Account and User's use of Website.
EACH USER IS REQUIRED TO READ AND ACCEPT THESE TERMS OF USE. THESE TERMS OF USE CONTAIN IMPORTANT INFORMATION REGARDING EACH USER'S LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS.
Eligibility
USER'S REGISTRATION AND USE OF WEBSITE IS VOID WHERE PROHIBITED. WEBSITE IS FOR USERS WHO ARE SIXTEEN (16) YEARS OF AGE OR OLDER. ANY REGISTRATION BY, USE OF, OR ACCESS TO WEBSITE BY ANYONE UNDER THE AGE OF SIXTEEN (16) IS PROHIBITED AND IN VIOLATION OF THESE TERMS OF USE.
Any User who is under the age of eighteen (18) is encouraged to seek their parent's permission prior to registration with or use of Website. Upon acceptance of these Terms of Use, User is representing and warranting to Company that he/she is sixteen (16) years of age or older and that User agrees to and shall abide by all of these Terms of Use. Company, with or without notice, may terminate a User's account by deleting a User's profile, including any Content or information posted by such User, (collectively the "Account") and/or prohibit User from using or accessing Website for any reason, at any time in its sole discretion. If a parent discovers that their child who is under the age of sixteen (16) has created an Account with Company, the parent may alert Company and request that the Account be closed (see Verification of Age for more information on how to cancel your child's Account).
Account Registration
When User registers with Website, Company may ask User for certain information. User must provide, and continue to provide, Company with accurate, complete, and updated information. If User fails to provide accurate, complete, or updated information, Company may suspend or terminate User's Account with or without notice to User.
Ownership of Content
Company owns and retains proprietary rights in Website. Website contains copyrighted material, trademarks, and other proprietary information of Company, its licensors and licensees.
User acknowledges and agrees to be solely responsible for all Content on User's Account, including, but not limited to, the text, photos, profiles, messages, notes, information, music, video, advertisements and other content (collectively, the "Content") that User uploads, publishes, or displays on or through Website, or transmits or shares with other Users and the consequences of uploading, publishing, or displaying such Content. User understands that he/she is solely liable for any and all damages suffered as a result of uploading, publishing, or displaying any Content whatsoever.
User retains all ownership rights in the Content uploaded, published, or displayed by such User. Company has no control over and does not endorse the Content. Company does not review the Content and such Content does not reflect the opinions or policies of Company. Company makes no warranties, express or implied, as to the Content or to the accuracy and reliability of the Content or any other material or information User uploads, publishes, or displays. User understands that Company does not control and is not responsible for Content or any other information posted on Website, whether posted by User, other Users, or third parties made available through Website, and that by using Website, Users may be exposed to Content that is offensive, indecent, inaccurate, misleading or otherwise objectionable. User understands and agrees that Company may, but is not required to, review and delete, without notice, any Content that, in the sole judgment of Company, violates these Terms of Use or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of Users or others.
Company, regardless of ownership, reserves the right at all times to disclose, in its sole discretion, any Content as necessary to satisfy any law, regulation, or governmental request or reduce or prevent what Company considers to be, in its sole discretion, a serious or imminent threat to User's health or safety, or the health or safety of another.
USER AGREES THAT COMPANY SHALL NOT BE LIABLE, UNDER ANY CIRCUMSTANCES, FOR ANY ERRORS, OMISSIONS, LOSS OR DAMAGES OF ANY KIND INCURRED AS A RESULT OF THE UPLOADING, PUBLISHING, OR DISPLAYING OF THE CONTENT OR AS A RESULT OF THE USE OF ANY CONTENT, AND USER HEREBY RELEASES COMPANY AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS AND EMPLOYEES THEREFROM.
Copyrights
USER SHALL NOT UPLOAD, PUBLISH, OR DISPLAY CONTENT WHICH IS SUBJECT TO COPYRIGHT PROTECTION, TRADEMARKS, OR OTHER PROPRIETARY INFORMATION BELONGING TO OTHERS WITHOUT OBTAINING THE PRIOR WRITTEN CONSENT OF THE OWNER OF SUCH PROPRIETARY RIGHTS.
User, in connection with the Content such User uploads, publishes, or displays, represents, and warrants to Company that such User owns or has the necessary licenses, rights, consents, and permissions to use and authorize Company to use all intellectual property, such as patent, trademark, trade secret, copyright, or other proprietary rights in and to any and all Content uploaded, published, or displayed by User.
By uploading, publishing, and/or displaying Content on Website, User grants Company a transferable, nonexclusive, nonterminable, royalty-free license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in any media. User also grants other Users a nonexclusive license to access the Content through Website and to use, reproduce, distribute, prepare derivative works of, display, and perform such Content as permitted through the functionality of Website. Users are prohibited from removing Content from Website at any time.
Subject to User's compliance with these Terms of Use, Company grants User a non‑transferable, non‑sublicensable right to access, view and print public Content, only for User's personal, non‑commercial use. Users may not (i) distribute any Content to third parties, (ii) use any Content commercially, except as may be permitted by a separate license explicitly attached to a particular piece of Content, or (iii) otherwise copy, modify, distribute, publicly display, or perform any Content, except as such acts may be permitted by a separate license explicitly attached to such Content.
Except for Content posted by User, such User may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any content appearing on Website.
Digital Millennium Copyright Act
Company respects the intellectual property rights of others. Therefore, pursuant to the Digital Millennium Copyright Act ("DMCA"), Company has registered the following DMCA Agent and implemented the following procedures.

The DMCA requires that such copyright infringement claims ("DMCA Notification") contain certain information (please see 17 USCS 512(c)(3) for requirements). Upon receipt of a valid DMCA Notification, the DMCA Agent shall direct for the expeditious removal, or disablement of access to, the material claimed to be infringing or the subject of infringing activity and promptly notify the User which posted the subject work of the DMCA Notification and subsequent removal or disablement. If the DMCA Notification fails to comply with the DMCA requirements, the DMCA Agent shall take no action.
Company shall coordinate with DMCA Agent and keep records to track repeat offenses to assure proper adjudication of all incidents. Company shall terminate any User's Account for repeated claims and/or violations or flagrant misuse of the Website or its services.
Trademarks
All trademarks, service marks and logos used on Website are the sole property of Company and/or its partners. These marks include, but are not limited to, GOSSIPREPORT.COM, GOSSIPREPORT.COM (logo design) and other Company graphics, logos, designs, page headers, button icons, scripts and service names that are protected by U.S. and international copyright, trademark, and other intellectual property laws. All Content created by Company, its partners, or its suppliers and included on Website, such as text, logos, graphics, images, java script code, HTML code, and other software, is the property of Company, or its partners or suppliers. Company's trademarks and trade dress may not be used, including as part of trademarks, links, and/or as part of domain names, and may not be copied, or imitated, in whole or in part, without the prior written permission of Company.
User does not have any rights or licenses to use any trademarks, service marks, logos, or any other proprietary information contained on Website. User shall not use any meta tags or other hidden text or metadata utilizing Company name, trademark, URL, or product name without Company's express written consent.
Right to Delete Content/Terminate Membership
COMPANY, IN ITS SOLE DISCRETION, MAY DELETE USER'S ACCOUNT OR CONTENT WITH OR WITHOUT NOTICE TO USER.
Company reserves the right to permanently block any User who violates these Terms of Use. User may terminate his/her Account at any time, for any reason, but may not delete Content previously uploaded, published, or displayed by such User. User understands and agrees that Company reserves the right at all times to review and delete any Content that User uploads, publishes, or displays in User's Account, or otherwise uploads, publishes, or displays on any area of Website.
User/Member Conduct
Users shall not:
i.Modify, adapt, translate, or reverse engineer any portion of Website, or use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of Website;
ii.Reformat or frame any portion of Website;
iii.Attempt to probe, scan or test the vulnerability of Company's system or network or breach any security or authentication measures;
iv.Falsify any TCP/IP packet header or any part of the header information in any Content, or in any way use Website to send altered, deceptive, or false source-identifying information;
v.Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure protecting Website;
vi.Upload, publish, display, or otherwise disseminate information that:
a.infringes any patent, trademark, trade secret, copyright, rights of privacy or publicity, or other proprietary right of any party or infringes any intellectual property or applicable law;
b.is unsolicited or unauthorized and contains advertising or promotional materials, would be classified as junk mail, spam, chain letters, or a pyramid scheme, or any other form of such solicitations;
c.is unlawful, deceptive, threatening, abusive, inciting to unlawful action, obscene, harmful, harassing, defamatory, libelous, vulgar or violent, or is otherwise hateful or constitutes hate speech;
d.contains objects or symbols of hate or invades the privacy of any third party;
e.contains nudity or pornography, including without limitation, any child pornography;
f.contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, or interfere with the access of any User, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing Website; or
g.includes code that is hidden or otherwise surreptitiously contained within the images, audio or video of any Content that is unrelated to the immediate, aesthetic nature of the Content.
vii.Remove or alter in any manner any copyright, trademark, or other proprietary right notices contained in or on Website;
viii.Interfere with other User's use of Website;
ix.Use any meta tags or other hidden text or metadata utilizing Company's trademark, UR, or product name without Company's express written consent;
x.Solicit or disseminate personal information about other Users without their express written permission;
xi.Impersonate or misrepresent User's affiliation with any person or entity, through pre‑texting or any other form of social engineering, or otherwise commit fraud;
xii.Resell Website, in whole or in part;
xiii.Violate any applicable law, regulation, or ordinance; or
xiv.Use Website in any manner not permitted by these Terms of Use.
Indemnity
USER SHALL DEFEND, INDEMNIFY, AND HOLD COMPANY AND ITS OFFICERS, DIRECTORS, SHAREHOLDERS, AND EMPLOYEES, HARMLESS FROM ANY LOSS, DAMAGE, CLAIM OR DEMAND, INCLUDING REASONABLE ATTORNEY FEES, ARISING OUT OF: (I) USER'S CONTENT; (II) USER'S USE OF WEBSITE; (III) USER'S CONNECTION TO WEBSITE; (IV) USER'S VIOLATION OF ANY OF THESE TERMS OF USE; (V) USER'S VIOLATION OF ANY REPRESENTATION OR WARRANTY MADE BY USER TO COMPANY; (VI) USER'S VIOLATION OF ANY THIRD PARTY RIGHT, INCLUDING WITHOUT LIMITATION TO, ANY INTELLECTUAL PROPERTY, DEFAMATION, BREACH OF CONFIDENCE, OR PRIVACY RIGHT; OR (VII) ANY CLAIM THAT USER'S CONTENT CAUSED DAMAGE TO A THIRD PARTY.
User's defense and indemnification obligations shall survive these Terms of Use and User's use of Website. User is solely responsible for his/her actions when using Website, including, but not limited to, costs incurred for Internet access.
Liability
User agrees that use of Website is at User's sole risk. Company does not guarantee the accuracy, completeness or usefulness of any Content on Website nor does Company adopt, endorse or accept responsibility for the accuracy or reliability of any opinion, advice or statement made by any User. Website is provided on an "as is" and "as available" basis without any warranties of any kind, whether express or implied, including but not limited to, warranties of title or implied warranties of merchantability, fitness for a particular purpose, non-infringement or otherwise, other than those which are incapable of exclusion, restriction or modification under the laws applicable to these Terms of Use.
EXCEPT IN JURISDICTIONS WHERE SUCH PROVISIONS ARE RESTRICTED, IN NO EVENT SHALL COMPANY AND ITS OFFICERS, DIRECTORS, SHAREHOLDERS, OR EMPLOYEES BE LIABLE TO USER OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING FOR ANY LOST PROFITS OR LOST DATA ARISING FROM USER'S USE OF WEBSITE OR ANY OF WEBSITE CONTENT OR OTHER MATERIALS ON OR ACCESSED THROUGH WEBSITE, EVEN IF COMPANY IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES .
Notwithstanding anything to the contrary contained herein, Company's liability to User for any cause whatsoever, and regardless of the form of the action, shall at all times be limited to the amount paid, if any, by such User to Company for use of Website, but in no case shall Company's liability to User exceed One Thousand Dollars ($1,000.00). User acknowledges that if no fees are paid to Company for the use of Website, User shall be limited to injunctive relief only, unless otherwise permitted by law, and shall not be entitled to damages of any kind from Company, regardless of the cause of action.
Fees
User acknowledges that Company reserves the right to charge for access to Website and to change such fees from time to time in its discretion. If Company terminates User's Account because User breaches these Terms of Use, User shall not be entitled to a refund of any unused portion of subscription fees paid.
Company may also charge additional fees to post Content in some areas of Website. The fee is an access fee permitting Content to be posted in a designated area. Each User uploading, publishing, or displaying Content on Website is responsible for said Content and compliance with these Terms of Use. All fees paid are non-refundable even in the event that Content is removed from Website.
User agrees that if actual damages cannot be reasonably calculated, User shall be liable to Company for the following amounts under the following circumstances:
i.One Thousand Dollars ($1,000.00) for each message that (a) fraudulently impersonates a person or entity, (b) falsely represents a User's affiliation with a person or entity or (c) includes personal information about another person without that person's prior written consent;
ii.One Hundred Dollars ($100.00) for each time User accesses Website after Company has terminated User's ability to use Website;
iii.Twenty-Five Dollars ($25.00) for each unsolicited email advertisement sent to Company or other Users;
iv.One Hundred Dollars ($100.00) for Content uploaded, displayed, or published in violation of these Terms of Use; and
v.Three Thousand Dollars ($3,000.00) for each day User displays, copies, reproduces, or otherwise exploits any Content (except User's own Content) in violation of these Terms of Conditions without Company's express written permission.
Otherwise, User shall pay to Company the actual damages caused by any of the above violations. Notwithstanding any other provisions of these Terms of Use, Company retains the right to seek specific performance of any term contained in these Terms of Use and any other legal remedy available to Company.
If User violates these Terms of Use, no further warnings shall be issued by Company. Company may immediately institute the above fines and/or seek the appropriate legal remedies.
Links
Users shall not link to Website on third party websites without the prior written consent of Company.
Profiles created and posted by Users on Website may contain links to third party websites. Company is not responsible for the content, accuracy, or opinions expressed on such websites, and such websites are in no way investigated, monitored, or checked for accuracy or completeness by Company. Inclusion of any linked website on Website does not imply approval or endorsement of the linked website by Company. When User accesses these third party websites, User does so at their own risk. Company takes no responsibility for third party advertisements, which are posted on Website, nor does it take any responsibility for the goods or services provided by its advertisers. User should review the terms and policies of any Website to which User navigates, as Company is not responsible or liable, directly or indirectly, for any loss caused or alleged to be caused by or in connection with the use of or reliance on any content, advertising, products, services or other material on the third party Websites.
Website contains links to other websites. Company is not responsible for the privacy policies and/or practices on these other websites. When linking to another website a User should read the privacy policy stated on that website. Company's Terms of Use only governs information collected on Company's Website.
Passwords
All Accounts are password protected. When Users create their Account, Users shall choose their username and password. Users shall not disclose their username or password to any third party or permit any third party the use of their username or password. Furthermore, Users are solely responsible for maintaining the confidentiality of their username and password and for any and all activities that occur under that name and password. User shall immediately notify Company if User has any suspicion that an unauthorized party is accessing User's Account. User may change his/her password at any time. User may set up new Accounts and close active Accounts at anytime.
Company has implemented protective measures to store and maintain User information. Such protective measures will attempt to limit access to User's personal information. Please note that despite Company's efforts, factors beyond Company's control may result in disclosure of User information. Accordingly, Company is not in a position to guarantee that User information will be secure under all circumstances.
Disclaimers
COMPANY IS NOT RESPONSIBLE OR LIABLE FOR THE CONDUCT OF ANY USER, WHETHER ONLINE OR OFFLINE, OR THE CONTENT UPLOADED, PUBLISHED, OR DISPLAYED BY ANY USER. UNDER NO CIRCUMSTANCES shall COMPANY BE RESPONSIBLE FOR ANY LOSS OR DAMAGE, INCLUDING PERSONAL INJURY OR DEATH, RESULTING FROM ANY USER'S USE OF WEBSITE, ANY CONTENT POSTED ON WEBSITE OR TRANSMITTED TO USERS, OR ANY INTERACTIONS BETWEEN OR AMONG USERS, WHETHER ONLINE OR OFFLINE.
Company does not in any way control or have an obligation to monitor the Content uploaded, published, or displayed by Users. However, Company reserves the right and option to monitor such Content at any time, in its sole discretion. Subject to these Terms of Use, Company also reserves the right to disclose any Content or User information that Company, in its sole discretion, deems necessary.

Company expressly disclaims any warranty of any kind, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non‑infringement. Company assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, User communications or Content. Company is not liable for any problems or technical malfunction caused by any of the equipment or programming associated with or utilized by Website.
Proprietary Rights
Company owns and retains all proprietary rights in Website. Website contains certain protected materials such as trademarks, copyrights, and other proprietary information of Company and its licensors ("Protected Materials"). Except for any information, which is in the public domain, User may not copy, modify, publish, transmit, distribute, perform, display, or sell any such Protected Materials or information without the express written consent of Company.
Advertiser Relationships
User is free to participate in the promotions of the advertisers on Website. Any such participation, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such participation, are solely between User and the advertiser. Company assumes no liability, obligation or responsibility for any part of any such participation.
Compliance/Modification of Terms
User is only authorized to use Website if User agrees to abide by all applicable laws and to the terms of these Terms of Use. If, after reading these Terms of Use, User does not wish to be bound by these Terms of Use, User must leave Website and discontinue use of Website immediately. If User remains on Website, or returns thereafter, User shall be deemed to have accepted to be bound by these Terms of Use.
Company reserves the right, in its sole discretion, to change, modify or otherwise alter these Terms of Use at any time. Such modifications shall become effective immediately upon the posting thereof. It is the sole responsibility of User to review these Terms of Use on a regular basis.
SPAM Policy
User shall not collect information of other Users, by any means, for the purpose of sending unsolicited email or unauthorized framing of or linking to Website. Users are prohibited from sending unsolicited email advertisements to Company's email addresses and other User's email addresses. Users who violate this policy may be subject to civil and criminal penalties.
Disputes
Any disputes between User and other Users, and/or third parties are the responsibility of User. Company reserves the right, but shall have no obligation to monitor, resolve or take any action in regard to such disputes. In the event User has a dispute with one or more other Users, such User releases COMPANY AND ITS OFFICERS, DIRECTORS, SHAREHOLDERS, AND EMPLOYEES from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspect or unsuspected, disclosed or undisclosed, arising out of or anyway related to Website.
Any dispute between User and Company shall be governed by the laws of the State of North Carolina without regard to principles of conflict of laws. By using Website User agrees to personal jurisdiction and venue in the state and federal courts located in Wilmington, North Carolina for the resolution of any dispute.
Non-Commercial Use
Website is for User's personal use only. No information or Content on Website should be used for any purposes other than personal entertainment. Website may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by Company.
Information Collection and Use by Company
Upon registration, Company may request certain personal information about User. User acknowledges that Company may collect and store User's name, username, password, email address, and any other personal information User chooses to provide to Company.
User also acknowledges that Company may collect non-personal identifiable information including IP addresses, profile information, aggregate User data, and browser types from User. Company may use such information to secure information, manage Website, track usage, and improve the overall Website.
Verification of Age
Access to certain Content on Website is restricted to persons eighteen (18) years of age or older. In order to view this Content, Company requires User to verify User's age. In order to verify that User is eighteen (18) years of age or older, User must provide Company with the following information:
full name;
username;
birthday;
mailing address;
telephone number(s); and
a copy of one of the following: driver's license; passport; or birth certificate.
Company retains this information in order to keep a record of its verification of User's age.
If a parent discovers that their child who is under the age of fourteen (14) has created an Account with Company, the parent may alert Company and request that the Account be closed. Company may require that the parent verify that the child is under fourteen (14) years of age and that they are the child?s parent or legal guardian. Upon Company's request, the parent must provide Company with some or all of the following:
child's full name;
username;
birthday;
parent's full name;
mailing address;
daytime and evening telephone number(s);
e-mail address; and
a signed statement that they are the child?s parent or legal guardian.
Company retains this information in order to keep a record of its verification that reporting parent is the parent or legal guardian of User and that User is a child under the age of fourteen (14).
Use of Cookies
Company uses cookies to store User's preferences and record session information. These cookies allow Company to customize Website content to User's preferences. Company does not link the stored information to any personally identifiable information. Users may configure their browser to accept or reject all or some cookies, or notify User when a cookie is set. Users must enable cookies from Company in order to use most functions on Website. Please note that Company allows third party advertisers to access cookies on a User's computer. Advertisers' use of cookies is subject to their own privacy policies, not these Terms of Use.
Third Party Disclosures
Information provided by User to Company and Content published by User on Website may be indexed by third party search engines and may appear in the search results provided and controlled by those third parties. Company has no control over the search indexes or results of those third parties. However, Company will not disclose personal information to any third party unless disclosure is necessary.
Third Party Advertising
Advertisements may be delivered to User by Company or one of Company's third party advertising partners. Such third party advertising partners may set cookies on User's computer to allow the third party advertising partner to recognize User's computer in the future and store User's preferences. Company and third party advertising partners may use the cookies to compile information about User. Such information allows Company and third party advertising partners to deliver targeted advertisements that it believes will be of most interest to User. These Terms of Use cover only Company's cookies, not the use of cookies by any third party advertising partner.
Changing and/or Removing Profile Information
After creation of Account, User may provide additional information on User's profile page. Completion of the profile page is optional and User should note that the information in User's profile will be posted on Website and is potentially accessible to the entire world. Users may modify, but not remove without terminating the Account, their email, zip code or password at any time by logging into User's Account.
Invite a Friend
Users may use Company's referral services for informing a friend about Website or any portion thereof by providing Company that friend's name and email address. Company may then automatically send emails and email reminders, including referring User's name and email address, inviting that friend to visit Website.

User voluntarily posts User's information and Content on Website and at such User's own risk, as such information and Content can be accessed by the public.
Email Choice/Opt-out
User may choose not to receive updates, notifications or Company newsletters by choosing the appropriate opt-out option in User Account profile preferences. All such updates, notifications and newsletters will also include instructions for opting-out of those communications in the future.
Information Website Retains
Account information and Content are not accessible after the Account is deleted; only User's username will appear with a message that the Account has been deleted. However, User information and Content may continue to appear in other areas of Website until those areas have been updated.
Even after deletion of an Account, Company may retain User information for archival purposes. Archival copies of this information are not posted publicly on Website. This information is maintained to allow Company to recover Content and restore Accounts in the event of equipment or system failure or to abide by legal requirements.
Embedded Message Center (Email System)
